These Terms and Conditions constitute an Agreement (hereinafter
called "Agreement") between the MEMBER (a person, company, or entity using or
interacting with EpicPR, or the website www.epicpr.com, or viewing any content
distributed by or syndicated by EpicPR) and EpicPR, a division of Epic
Innovations, Inc.
EpicPR reserves the right to deny service to any person, company or entity for
any reason at any time. EpicPR reserves the right to modify this Agreement at
any time, without prior notice to the MEMBER.
MEMBER is responsible for the content and accuracy of all content and other
information submitted by it. EpicPR assumes no responsibility for verifying any
information submitted by MEMBER, or any information contained therein. MEMBER
represents and warrants to EpicPR that:
(a) MEMBER has the right to deliver, submit, and/or syndicate all information
and content submitted by member to EpicPR
(b) MEMBER will comply with all applicable laws, rules and regulations,
including but not limited to the Children's Online Privacy Protection Act of
1998 and laws relating to "spam"
(c) no information or content submitted by MEMBER will contain any statements
that are obscene, libelous, slanderous or otherwise defamatory, false or
misleading or which violates any copyright, right of privacy or publicity or
other right of any person.
MEMBER shall indemnify and hold harmless EpicPR, its subsidiaries, its parent
companies, its affiliated companies and its third party vendors, including
distributors, from and against any and all claims, losses, damages,
liabilities, costs and expenses (including reasonable attorney's fees) arising
out of or relating to any breach by Member of the foregoing representations and
warranties or otherwise arising out of or relating to the contents or nature of
copy and other information provided by MEMBER or relating to any activities
undertaken by MEMBER.
EpicPR reserves the right to reject, delete, or edit copy or other information
submitted by MEMBER at its discretion.
EpicPR does not warrant nor guarantee that EpicPR's services will be free from
errors, including omissions, interruptions, delays, losses or defects, whether
human or mechanical. EpicPR makes no warranties, expressed or implied, as to
its services, including but not limited to any warranties of merchantability or
suitability for print or broadcast. The liability of EpicPR and its affiliates
to MEMBER shall be limited to the refund of the fees paid by MEMBER. In no
event will EpicPR or its affiliates be liable for any indirect, consequential,
special, exemplary or incidental damages.
EpicPR does not warrant specific placement of any information submitted by
MEMBER nor pick up on any news release on its wire.
MEMBER consents to receive communications, including emails, from EpicPR for
any reason.
Except as expressly provided, nothing shall be construed as conferring any
license to any of EpicPR's or any third party's services, including
intellectual property rights, whether by estoppels, implication, waiver, or
otherwise. Without limiting the generality of the foregoing, MEMBER
acknowledges and agree that certain Content available through and used to
operate the EpicPR network and the Products and Services is protected by
copyright, trademark, patent, or other proprietary rights of EpicPR and its
affiliates, licensors, and service providers. Except as expressly provided to
the contrary, MEMBER agrees not to modify, alter, or deface any of the
trademarks, service marks, or other intellectual property made available by
EpicPR. MEMBER agrees not to promote themselves as sponsored by, affiliated
with, or endorsed by EpicPR, any of EpicPR's affiliates, or any of EpicPR's
service providers. MEMBER agrees not to use any of the trademarks or service
marks or other Content accessible through the EpicPR network of any purpose
other than the purpose for which such Content is made available to MEMBERs by
EpicPR. MEMBER agrees not to defame or disparage EpicPR, the trademarks or
service marks of EpicPR, or any aspect of the Products and Services. MEMBER
agrees not to adapt, translate, modify, decompile, disassemble, or reverse
engineer the Products and Services or any software or programs used in
connection with EpicPR.
Information, services, methods and processes made available to the MEMBER are
the intellectual property of EpicPR. MEMBER agrees to use this service for its
intended purpose and not for the illicit purposes including, but not limited
to, the reverse engineering of the site and / or its processes and the
inclusion of such processes or services in a derivative service.
MEMBER acknowledges and agrees that MEMBER and EpicPR are independent
contractors under these Terms and Conditions, and nothing herein shall be
construed to create a partnership, joint venture, agency, or employment
relationship. Neither party pursuant to these Terms and Conditions has
authority to enter into agreements of any kind on behalf of the other and
neither party shall be considered the agent of the other.
Should MEMBER violate these Terms and Conditions or any other rights of EpicPR
and the EpicPR network of sites, EpicPR reserves the right to pursue any and
all legal and equitable remedies against MEMBER, including, without limitation,
terminating any and all MEMBER accounts on any and all of the EpicPR network
web sites.
MEMBER understands that EpicPR services are not refundable under any
circumstances unless EpicPR fails to provide the service or product advertised.
Once a Press Release is purchased and it is displayed on EpicPR, MEMBER is not
entitled to any refund.
MEMBERS obligations shall be binding on the recipient's heirs, successors and
assigns.
This Agreement shall be governed by and construed under the laws of the State
of Nevada.
By its registration for service, submission of copy and/or other information to
EpicPR, MEMBER agrees to be bound by the foregoing Conditions of Service.
EpicPR is not responsible for any Hot Picks posted by members who join our site
as MEMBERS of our services. We neither endorse nor support any of the Hot Picks
stocks posted on our web site. Each individual is responsible for such Hot
Picks.
EpicPR does not promote any offers to buy or sell any securities.
